These Terms of Service ("Terms" or "Agreement") govern your access to and use of the SmileGuard website, including all content, functionality, products, and services offered on or through the website (the "Site"). These Terms contain important information regarding your legal rights, remedies, and obligations, including limitations of liability and dispute resolution provisions.
By accessing, browsing, or making a purchase from this Site, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms in full, you may not access or use the Site.

2. ELIGIBILITY & ACCEPTANCE
You represent that you are at least the age of majority in your jurisdiction (18 years or older in most jurisdictions) and have the legal capacity to enter into a binding agreement. If you are using this Site on behalf of another entity, you represent that you are authorized to bind that entity to these Terms.
3. MODIFICATIONS TO TERMS
We reserve the right to update or modify these Terms at any time without prior notice. Changes will take effect immediately upon posting to the Site. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
4. WEBSITE USE & CONDUCT
You agree not to use the Site for any unlawful purpose or in any way that could harm SmileGuard or any third party. Prohibited conduct includes, but is not limited to:
- Violating any applicable law or regulation
- Infringing intellectual property rights
- Transmitting malware, viruses, or harmful code
- Submitting false, misleading, or fraudulent information
- Attempting to interfere with Site security, functionality, or availability
- Engaging in automated data collection (scraping, bots, etc.) without permission
- Using the Site to resell products without authorization
We reserve the right to suspend or terminate access to the Site at our sole discretion without prior notice or liability.
5. PRODUCTS & PERSONAL USE ONLY
All products sold on the Site are intended for personal, non-commercial use only. You may not resell, redistribute, license, or commercially exploit any SmileGuard products without express written permission from SmileGuard.
We reserve the right to refuse service, limit quantities, or cancel orders that appear to violate this policy or are made for resale purposes.
6. NO MEDICAL ADVICE
The content and products provided on this Site are for informational purposes only and are not intended to diagnose, treat, cure, or prevent any disease or medical condition.
Statements made on the Site regarding products have not been evaluated by the U.S. Food and Drug Administration (FDA). SmileGuard products are not intended to replace professional dental or medical care.
Always consult a qualified healthcare professional, dentist, or physician before using any dental, oral-care, or dietary supplement product, especially if you are pregnant, nursing, taking medication, or have a medical condition.
Results may vary from person to person. Individual results are not guaranteed.
7. ACCURACY OF INFORMATION
While we strive to provide accurate and up-to-date information, we do not guarantee that product descriptions, images, pricing, availability, or other content on the Site is error-free, complete, or current.
We reserve the right to correct errors, inaccuracies, or omissions and to change or update information at any time without prior notice. This includes the right to cancel orders placed based on incorrect pricing or product information.
8. PRICING & PAYMENTS
All prices are listed in U.S. Dollars (USD) unless otherwise stated. Prices are subject to change without notice.
By submitting payment information, you represent and warrant that:
- You are authorized to use the payment method provided
- All payment information provided is accurate and complete
- Sufficient funds or credit are available to complete the transaction
We use third-party payment processors to handle transactions. You agree to comply with their terms and policies.
We are not responsible for any fees, charges, or currency conversion rates imposed by your financial institution or payment provider.
9. ORDER ACCEPTANCE
Receipt of an order confirmation email does not constitute acceptance of your order. We reserve the right to refuse, cancel, or limit orders at our sole discretion for any reason, including but not limited to:
- Product availability
- Suspected fraudulent activity
- Errors in pricing or product descriptions
- Violation of these Terms
- Orders placed for resale purposes
If an order is canceled after payment has been processed, you will receive a full refund to your original payment method within 5-7 business days.
10. SHIPPING & DELIVERY
Shipping details, timelines, fees, and policies are outlined separately in our Shipping Policy, which is incorporated into these Terms by reference.
SmileGuard is not responsible for delays, damages, or losses caused by:
- Incorrect or incomplete address information provided by the customer
- Carrier delays or failures beyond our control
- Failed delivery attempts due to recipient unavailability
- Customs delays or fees for international shipments
Carrier delivery confirmation constitutes proof of delivery. Risk of loss and title for products pass to you upon delivery.
11. RETURNS & REFUNDS
Returns, refunds, and exchanges are governed by our Refund Policy, available on the Site and incorporated into these Terms by reference. Please review that policy carefully before making a purchase.
By making a purchase, you acknowledge and agree to the terms of our Refund Policy.
12. SUBSCRIPTIONS & RECURRING BILLING
12.1 Subscription Enrollment
When you purchase a subscription product from SmileGuard, you are enrolling in automatic recurring deliveries and charges. Subscription billing cycles are based on the supply duration you select at checkout:
- 30-Day Supply: Charged and shipped every 30 days
- 90-Day Supply: Charged and shipped every 90 days
- 150-Day Supply: Charged and shipped every 150 days
12.2 Authorization & Billing
By enrolling in a subscription, you expressly authorize SmileGuard to:
- Store your payment method securely with our payment processor
- Automatically charge your payment method on each renewal date
- Continue charging your payment method for each billing cycle until you cancel
You will receive an email reminder before each subscription renewal. Subscription charges are non-refundable once processed.
12.3 Auto-Renewal
All subscriptions automatically renew at the end of each billing cycle and will continue indefinitely until you cancel. You are responsible for canceling your subscription if you do not wish to continue.
12.4 Managing & Canceling Subscriptions
You may modify, pause, or cancel your subscription at any time through:
- Your customer account portal at [yourstore.com/account]
- Our customer portal at [yourstore.com/tools/loop/portal]
- Emailing support@smileguard.store with your order number
Cancellation must be submitted at least 48 hours before your next scheduled renewal date to avoid being charged. Once a subscription charge has been processed, it is non-refundable, but you can cancel to stop future charges.
12.5 Payment Failures
If a subscription payment fails, we will attempt to process the payment up to 3 times over a 7-day period using the payment method on file. If all attempts fail:
- Your subscription will be automatically canceled
- You will need to place a new order to resume deliveries
You are responsible for maintaining valid, up-to-date payment information. Failure to update payment information may result in subscription cancellation.
12.6 Price Changes
We reserve the right to change subscription pricing at any time. You will be notified of any price changes at least 30 days before they take effect. Continued use of your subscription after a price change constitutes acceptance of the new price.
12.7 Subscription Modifications
You may change your subscription frequency (e.g., from 30-day to 90-day supply) at any time. Changes will take effect on your next renewal date.
13. PRE-ORDERS
When you purchase a pre-order, you are reserving an out-of-stock or soon-to-be-available product not yet in inventory. We may collect full payment, partial payment, or no payment at checkout depending on the product.
If partial or no payment is collected, we will store your payment method securely and charge the remaining balance when the product becomes available and is ready to ship.
Pre-Order Cancellation:
- You may cancel a pre-order at any time before the product ships
- If payment was collected, you will receive a full refund within 5-7 business days
- Once a pre-order has shipped, you cannot cancel, but you may return the product according to our Refund Policy
14. TRY BEFORE YOU BUY
When you purchase a "Try Before You Buy" item, we will authorize (but not charge) your payment method at checkout. Your order will ship, and you will have a specified trial period (stated at checkout) to decide if you want to keep the product.
Try Before You Buy Terms:
- If you keep the item, your payment method will be charged in full at the end of the trial period
- If you return the item within the trial period in original, unused condition, the authorization will be released and you will not be charged
- Return shipping is the customer's responsibility unless otherwise stated
- Failure to return the item within the trial period will result in automatic charging
15. INTELLECTUAL PROPERTY
All Site content, including text, graphics, logos, images, videos, product descriptions, software, and other materials, is the exclusive property of SmileGuard or its licensors and is protected by U.S. and international copyright, trademark, and intellectual property laws.
You may not copy, reproduce, distribute, modify, publicly display, or create derivative works from any Site content without express written permission from SmileGuard.
The SmileGuard name, logo, and all related marks are trademarks of SmileGuard. Unauthorized use is strictly prohibited.
16. USER-GENERATED CONTENT
If you submit reviews, testimonials, photos, videos, or other content to the Site ("User Content"), you grant SmileGuard a perpetual, worldwide, royalty-free, transferable license to use, reproduce, modify, display, and distribute your User Content for marketing, promotional, or any other business purposes.
You represent and warrant that:
- You own or have the necessary rights to the User Content
- The User Content does not violate any third-party rights or applicable laws
- The User Content is accurate and not misleading
We reserve the right to remove any User Content at our discretion without notice.
17. THIRD-PARTY LINKS
The Site may contain links to third-party websites or services. SmileGuard is not responsible for the content, accuracy, or practices of any third-party sites. Access to third-party sites is at your own risk, and you should review their terms and privacy policies.
18. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, PRODUCTS, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
- IMPLIED WARRANTIES OF NON-INFRINGEMENT
- WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
SmileGuard does not warrant that:
- The Site will meet your requirements or expectations
- Products will achieve specific results
- Defects or errors will be corrected
- The Site or servers are free of viruses or harmful components
19. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, SMILEGUARD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO:
- Your use of or inability to use the Site or products
- Unauthorized access to your data or account
- Errors, mistakes, or inaccuracies in content
- Personal injury or property damage resulting from your use of products
- Any third-party conduct or content on the Site
IN NO EVENT SHALL SMILEGUARD'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS LESS.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
20. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless SmileGuard, its owners, officers, directors, employees, affiliates, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your violation of these Terms
- Your use or misuse of the Site or products
- Your violation of any third-party rights
- Any User Content you submit
- Any fraudulent, unlawful, or negligent conduct
21. DISPUTE RESOLUTION & ARBITRATION
21.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to contact us at support@smileguard.store to attempt to resolve the dispute informally. We will work in good faith to resolve the issue within 30 days.
21.2 Binding Arbitration
If informal resolution fails, you and SmileGuard agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Arbitration will be conducted in Delaware unless otherwise agreed. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.
21.3 Class Action Waiver
YOU AND SMILEGUARD AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.
21.4 Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
22. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles.
Any legal action or proceeding (other than arbitration) shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of such courts.
23. FORCE MAJEURE
SmileGuard shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, pandemics, or interruptions in telecommunications or internet services.
24. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.
25. WAIVER
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
26. ASSIGNMENT
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. SmileGuard may assign or transfer these Terms at any time without restriction.
27. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and Purchase Options & Subscription Cancellation Policy, constitute the entire agreement between you and SmileGuard regarding use of the Site and supersede all prior or contemporaneous agreements, representations, and understandings.
28. SURVIVAL
Provisions of these Terms that by their nature should survive termination (including but not limited to liability limitations, indemnification, arbitration, and governing law) shall survive any termination or expiration of these Terms.
